How to Open a Subsidiary in Mexico?

This process applies to legal entities that wish to open branches in Mexico to participate in public tenders and other business activities.

First, the company or legal representative must have deeds and/or incorporation documents affixed with apostille seal. Optionally, you can apply for the unique registration code (RFC) and associated e-signature before Tax Administration Service (SAT), allowing you to perform these procedures online.

Depending on the place of incorporation of the foreign legal entity, you must submit a notice or request for authorization to establish a branch in Mexico to the Ministry of Economy.

Then you must register your bylaws with the Public Registry of Commerce (RPC).

Likewise, you will have to go to the Tax Administration Service (SAT) to secure the Tax ID (RFC) of the foreign legal entity and its associated e-signature.

If you employ workers, you must register as an employer with the Mexican Social Security Institute (IMSS).

Additionally, you must apply for registration in the National Foreign Investment Registry (RNIE), which is responsible for gathering foreign investment statistics in Mexico.

Finally, you must register your establishment with the Mexican Business Information System (SIEM), where you can consult or promote products or services.
